In these Terms and Conditions, Ralia Solutions and its brands are collectively referred to as "Opale" or the "Service Provider".
These Terms and Conditions define the conditions under which Opale provides its services to talents, content creators, entrepreneurs, professionals, companies, brands, and individuals, hereinafter the "Client".

All of Opale's services are subject to an obligation of means and not an obligation of result.
Opale commits to deploying the resources reasonably provided for in the subscribed offer, with diligence and based on available information. However, Opale never guarantees:
Results depend in particular on the Client's profile, their offer, their pricing, their market, their location, their availability, the quality of their content, competition, platform algorithms, third-party decisions, economic conditions, and many factors independent of Opale.
No commercial statement, estimate, simulation, potential study, or projection should be interpreted as a promise or guarantee of results.
E-commerce Models & UGC allows talents to benefit, depending on the chosen plan, from support that may include:
The subscription does not constitute an employment contract or an exclusive representation mandate.
Payment for a plan covers the analysis, support, research, and prospecting work performed by Opale. It does not cover the purchase of a collaboration.
In particular, Opale does not guarantee:
The categories or "Tiers" that may be presented correspond to categories of brands that can be targeted. They do not constitute a list of contractual partners nor a guarantee of collaboration with the brands mentioned.
Every brand retains sole decision-making power:
Unless otherwise agreed in writing, the talent negotiates and signs their contracts directly with brands. It is their responsibility to verify the legal, tax, social, insurance, and financial terms applicable to each assignment.
Opale is not responsible for the actions, delays, payment defaults, cancellations, or failures of any brand or other third party.
The Client authorizes Opale, for the duration of their support, to use the photographs, videos, professional information, measurements, social media links, and portfolio elements they provide, solely for the purpose of:
Any public advertising use of the Client's likeness by Opale requires prior consent, unless the Client has expressly authorized such use in a separate contract, form, or authorization.
Depending on the chosen plan, FAIR may include:
The Internet and the platforms monitored are constantly evolving. Some sources may be private, closed, technically inaccessible, unindexed, deleted, password-protected, geographically restricted, or subject to technical limitations.
FAIR therefore does not guarantee:
Scores and analyses are decision-support indicators. They do not constitute an absolute scientific measurement or legal advice.
FAIR does not guarantee:
Response, reporting, takedown, or protection actions may depend on platforms, publishers, search engines, authorities, media outlets, or individuals independent of Opale.
FAIR does not provide legal representation. Any situation involving legal, criminal, regulatory, or litigation risks must be reviewed by a qualified legal professional.

Opale does not guarantee, in particular:
Estimates and simulations presented by Opale are purely indicative. They are based on assumptions and data that are subject to change.
Economic examples showing how many clients or subscribers could represent a certain amount of revenue are purely mathematical illustrations. They do not constitute a forecast of the number of clients that will be obtained.
The Client remains responsible for:
The Client must not transmit to Opale any lists or data obtained illicitly.
Certain services may use automated technologies or artificial intelligence tools to assist with research, analysis, categorization, drafting, monitoring, or optimization.
The Client acknowledges that these technologies may produce errors, omissions, approximate interpretations, incorrect classifications, or incomplete results.
Automated analyses should be viewed as assistive tools. They do not replace human, legal, financial, or professional judgment when required.
Opale may use third-party providers for hosting, payment, public data collection, email delivery, project management, analytics, storage, or artificial intelligence. Opale cannot guarantee the uninterrupted operation of these providers.
The contract is concluded when the Client:
Opale may refuse or cancel an order in the event of:
In the event of a cancellation before the service begins, any amounts collected for the unperformed service will be refunded, subject to any legally applicable fees.
The applicable prices are those indicated at the time of the order, in the quote, or on the payment page.
Prices may be displayed in euros, UAE dirhams, or any other currency indicated. The Client is responsible for any conversion fees or bank charges applied by their payment institution.
Payments may be processed by a secure provider such as Stripe. Opale does not store full credit card details.
Unless otherwise stated:
Any applicable taxes are presented in accordance with current requirements.
When the Client is legally entitled to a right of withdrawal, they may exercise it within the period provided by the mandatory regulations applicable to them.
When the Client expressly requests that the performance of the service begin before the expiration of this period:
All requests must be sent to contact@opaleagency.fr, including the Client's identity, the service concerned, and the order date.
Except in the case of a mandatory legal right or a proven failure by Opale, payments for services already begun or completed are non-refundable.
The mere fact of not having obtained a collaboration, client, lead, growth, content removal, or reputation improvement does not constitute a failure to perform the service and does not entitle the client to a refund.
If a service has not yet begun, Opale may review a cancellation request. Reasonable fees covering processing, preparation, or incurred costs may be deducted where permitted by law.
Refunds are issued using the original payment method, subject to the payment provider's processing times.
The duration of each service is indicated in the applicable offer or quote.
An annual plan is valid for twelve months from the date of activation, unless otherwise specified.
A one-time payment service covers only the announced scope and period. It does not create an obligation for unlimited support.
Failure by the Client to use the service does not automatically extend its duration.
The Client agrees to:
Any delay, incorrect information, or lack of cooperation from the Client may delay, reduce, or prevent the performance of the service, without incurring any liability for Opale.
Opale may suspend or terminate a service, following notification where circumstances permit, in the event of:
In the event of a serious breach by the Client, services already rendered remain due and no refund will be granted, subject to applicable mandatory rights.
The testimonials, portfolios, case studies, examples of collaborations, figures, past results, and profiles presented on the site illustrate individual experiences.
They do not guarantee that the Client will achieve identical or comparable results.
Results vary based on each profile and situation.
The mention or display of a brand name or logo does not necessarily imply that a permanent, exclusive, or current partnership exists with Opale. When brands are mentioned as examples of targets or past collaborations, this mention does not guarantee any access or future collaboration.
The methods, analyses, strategies, dashboards, documents, texts, templates, presentations, graphic elements, structured databases, and deliverables created by Opale remain protected by applicable intellectual property rights.
Subject to full payment, the Client receives a personal, non-exclusive, and non-transferable right to use the deliverables for their own internal needs.
Unless authorized in writing, the Client may not:
The Client warrants that it holds the necessary rights to all materials it provides to Opale.
Each party agrees to protect the confidential information received in the course of the services.
Information is not considered confidential if it is:
Opale may share strictly necessary information with its service providers, employees, and partners who are subject to appropriate confidentiality obligations.
To the extent permitted by law, Opale is not liable for indirect damages, loss of opportunity, loss of revenue, loss of clientele, loss of data, indirect reputational damage, commercial losses, or decisions made solely on the basis of an estimate or recommendation.
Opale is specifically not responsible for:
To the extent permitted by law, Opale’s total liability for any service is limited to the amount actually paid by the Client for the service directly causing the damage during the twelve months preceding the event.
This limitation does not apply where its exclusion is prohibited by mandatory law, particularly in cases of fraud, intentional misconduct, or liability that cannot be legally limited.
Neither party shall be liable for any delay or failure to perform resulting from an event reasonably beyond its control, including:
The affected party shall notify the other party within a reasonable timeframe.

They must include the Client's identity, the order reference, a description of the issue, and any available supporting documentation.
The parties shall endeavor to seek an amicable solution before initiating any legal proceedings.
These Terms and Conditions are governed by the laws of the United Arab Emirates and, where applicable, the local regulations of the Emirate of Abu Dhabi.
Subject to any mandatory rights a consumer may have, any dispute shall be subject to the jurisdiction of the competent courts of Abu Dhabi, United Arab Emirates.
The choice of United Arab Emirates law does not deprive a consumer of the mandatory protections that cannot be waived by agreement under the laws of their country of residence, where such protections apply.
If any clause is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The fact that Opale does not immediately exercise a right does not constitute a waiver of that right.
Opale may modify these Terms and Conditions to reflect changes in its services, regulations, or tools.
The version applicable to an order is the one accepted at the time of that order, unless a modification is required by law or agreed upon by the parties.
